1. Acceptance of Terms

By accessing or using Membook ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform.

2. Service Description

Membook is a peer‑to‑peer marketplace that allows buyers to rent GPU memory (VRAM) and system RAM from providers. Providers earn MEM tokens for idle memory rented through the Platform.

MEM tokens are a unit of account within the Membook ecosystem and are not a security, commodity, or financial instrument.

3. Provider Earnings & Tax Responsibility

Earnings Estimates: Any earnings examples or projections on the Platform are estimates only. Actual earnings vary with marketplace demand, utilization, and other factors. No guaranteed income is promised.

Tax Responsibility: You are solely responsible for reporting your earnings to tax authorities and paying any taxes owed. Membook may issue Form 1099 to US‑based providers as required by law. You agree to provide accurate tax information upon request.

Payment Processing: Payouts may be processed via third‑party payment processors (e.g., PayPal, Stripe). You must comply with their terms and provide accurate payment information.

4. User Conduct

You agree not to:

  • Use the Platform for illegal purposes.
  • Attempt to game or manipulate the marketplace.
  • Interfere with the operation of the Platform or other users' devices.
  • Provide false or misleading information during registration.

5. Limitation of Liability

Membook and Cyborama LLC are not liable for:

  • Loss of data, revenue, or profits resulting from use of the Platform.
  • Interruptions in service or connectivity.
  • Actions of other users or third‑party payment processors.
  • Tax liabilities incurred by providers.

To the maximum extent permitted by law, our total liability is limited to the amount you paid to use the Platform in the past 12 months.

6. Termination

We may suspend or terminate your access to the Platform at our discretion, with or without cause. You may stop using the Platform at any time.

7. Changes to Terms

We may update these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the new Terms.

8. Governing Law

These Terms are governed by the laws of the State of Alabama, United States, without regard to conflict of law principles.
